Need and Purpose of Secretarial Auditing
Secretarial auditing became legally mandatory for bigger companies in India after the 2013 Act. Its key objectives are to:
- Ensure Filing and Documentation Compliance
Review whether all approvals, annual filing requirements prescribed by the ROC, RBI, SEBI and relevant authorities have been fulfilled in the right formats and timelines.
- Evaluate Process Compliance
Examine company minutes, registers, employee records if rules regarding board meetings, General meetings, voting, resolutions and decisions have been correctly followed.
- Check Governance Compliance
Verify board structure, directors appointments, committee systems for audit, nomination, remuneration etc as per Act provisions
- Assess Compliance Management
Analysis of the robustness of compliance management systems and processes given growth.
